Brent R. Baker
Shareholder and Director

Brent Baker is a shareholder and member of Clyde Snow's White Collar Crime and Independent Investigations Group. His practice focuses on defending corporate and individual clients in regulatory enforcement investigations and litigation before the U.S. Department of Justice (DOJ), the U.S. Securities and Exchange Commission (SEC), the Public Company Accounting Oversight Board (PCAOB), and other federal and state agencies. Mr. Baker has also represented broker-dealers, investment advisors, and individual registered representatives before the SEC and the Financial Industry Regulatory Authority (FINRA). He also handles a variety of corporate internal investigations.

Mr. Baker's litigation experience includes representing executives and accounting professionals in some of the largest cases brought by the SEC, FINRA, and the PCAOB. With litigation experience as a top defense attorney and former Special Counsel at the SEC, he has also represented several national broker-dealer firms in SEC or State Division of Securities investigations and litigation involving, among other things, alleged failure to supervise and allegations of selling non-authorized products or so-called "selling away." Many of these disputes were settled on terms favorable to Mr. Baker's clients.

Mr. Baker served with the SEC for over ten years in various positions of increasing responsibility and left in early 2005 as Senior Special Counsel.  During his time at the SEC, he prosecuted a wide range of securities violations and also served as a Special Assistant United States Attorney for the U.S. Department of Justice.

Prior to joining Clyde Snow, Mr. Baker also served as in-house counsel for a NASDAQ listed public company and was a shareholder at two major law firms.

Mr. Washburn joined Clyde Snow & Sessions after eight years of legal service in the U.S. Department of Justice. He is an experienced trial attorney focusing his practice in the areas of criminal tax, white collar, and civil regulatory defense. During his eight years as a federal prosecutor, Mr. Washburn tried more than a dozen jury trials in federal district court and oversaw more than one hundred complex white collar investigations. He brings this experience to his representations of individuals and corporations.

Following a clerkship with Sr. Judge Stephen H. Anderson in the U.S. Court of Appeals for the 10th Circuit, Mr. Washburn became a trial attorney for the U.S. Department of Justice Tax Division's Northern Criminal Enforcement Section. Most recently, he served as assistant U.S. attorney and deputy chief of white collar crime in the United States Attorney's Office for the District of Utah. While with the Department of Justice, Mr. Washburn was on the faculty of courses on the federal rules of evidence, as well as substantive white collar crime.

Mr. Washburn currently works alongside Rodney G. Snow, Neil A. Kaplan, Anneli R. Smith, and Jennifer A. James as a member of Clyde Snow's White Collar Criminal Investigation Practice Group, bringing many years of expertise in related matters.

Mr. Love's business litigation experience includes antitrust claims brought under the Sherman Act and the Robinson-Patman Act (unfair competition, price fixing, price discrimination, concerted refusal to deal, horizontal and vertical restraints, and predatory conduct); intellectual property claims (trademark, trade dress, trade secret, unfair competition, and breaches of non-competition and non-disclosure agreements); and corporate, commercial, and securities litigation (insider self-dealing, minority shareholder disputes and valuation of minority shares, shareholder derivative claims, minority share valuation claims, securities fraud, RICO, and other business torts).

Mr. Love has represented both property owners and various condemning authorities (including an interstate natural gas utility, a water district, state agencies, and municipalities) in both state and federal eminent domain proceedings. On behalf of many different clients, Mr. Love has litigated real estate claims involving title insurance, easements and rights of way, surveys, and boundary disputes.

Mr. Love also has experience in malpractice matters. He has represented attorneys, appraisers, and other professionals in defense of proposed liability and malpractice claims.

For more than a decade, Mr. Love has represented a major oil company, an interstate crude oil pipeline company, and other clients in connection with various environmental litigation claims (including CERCLA-Superfund claims, actions brought under the Utah State LUST Act, and the federal Oil Pollution Act).

Mr. Love has served as Special Assistant Attorney General on behalf of the Utah Department of Transportation in a complex eminent domain action. He also served as Special Counsel to the Utah State Bar at trial in disbarment proceedings. He began his career as an associate at Covington & Burling in Washington, D.C., following a clerkship with the Honorable Francis D. Murnaghan, Jr., of the United States Court of Appeals for the Fourth Circuit in Baltimore, Maryland.
